UniqueTracks Basic Rights License Agreement

When you purchase a music recording from UniqueTracks using this website, you are, in fact, obtaining a license from us to legally use the music in your production. This page explains the Basic Rights License Agreement granted with every purchase from the UniqueTracks site. All prices on this site reflect the rights granted by this Basic Rights License Agreement.

When you purchase a music track from UniqueTracks, the music and recording are licensed, not sold, to you by UniqueTracks, for commercial use in broadcast, film, video, web, multimedia, on-hold-messaging, podcasts, trade shows, etc. You may use any of the songs or remixes in synchronization with the visuals, text or other multimedia content in a commercial or non-commercial production without any additional licensing fees.

The UniqueTracks Basic Rights License grants you the right to produce and sell a product up to 10,000 units that contains music from the UniqueTracks production library without any additional licensing fees providing the end user of your product is restricted from obtaining direct access to the music for personal use.

For example, this license allows you to produce and market a DVD which incorporates our music in its soundtrack, but you cannot make available or bundle a copy of our products (our CDs or any of the tracks therein) with your DVD for your customers to edit, copy, or use as they wish.

To be sure you are using the music correctly within the standard license agreement, just make sure to use the music in the background or in a supporting/secondary way. As long as our tracks are not the main content of your product, you are using the music correctly within the license agreement.

PLEASE READ THIS DOCUMENT CAREFULLY BEFORE PURCHASING MUSIC THAT IS ASSOCIATED WITH THIS LICENSE. THIS LICENSE PROVIDES IMPORTANT INFORMATION CONCERNING THE MUSIC, AND PROVIDES YOU WITH A LICENSE TO USE THE MUSIC ONLY FOR THE SPECIFIC PURPOSES SET FORTH HEREIN.

BY DOWNLOADING OR USING THE MUSIC, YOU ARE ACCEPTING AND AGREEING TO BE BOUND BY THE TERMS OF THIS LICENSE AGREEMENT. IF YOU DO NOT WISH TO BE BOUND BY THIS LICENSE, DO NOT DOWNLOAD OR USE THE MUSIC.

All rights and ownership of the music, including but not limited to copyrights, are wholly owned or controlled by the author or publisher of the music, and nothing in this License shall be construed to transfer or assign any such rights or ownership to you.

This License is non-exclusive, and allows usage of the music purchased by you only in the specific manner described in this License. You may use the music for your own commercial or non-commercial purposes, but you may not sub-license, transfer, resell or repackage the music in any manner to any third party.

You may make copies of the music as reasonably necessary in order to use the music in a manner that is consistent with this License.  You may also use all, part and non-consecutive parts of each purchased composition.

UniqueTracks warrants that it owns or otherwise controls the copyrights and usage to all of the sound recordings that we sell and that we either own the underlying compositional copyright or the composition itself is in the public domain.  We represent and warrant that we have the right and authority to grant the rights given herein and that the exercise of your licensing rights granted herein will not violate the rights of any third party.  We agree to defend, indemnify and hold you harmless from and against any claims, damages, liabilities, costs and expenses, including reasonable attorney’s fees, arising out of the permitted useof the music that you have purchased.

TERM
This License extends for as long as the music is used by you; provided, however, UniqueTracks may immediately terminate this License if you violate any of the terms and conditions contained herein.

USAGES ALLOWED UNDER THIS LICENSE

FILM SYNCHRONIZATION

  1. The film production is a student film OR
  2. The film production has been licensed by SAG pursuant to your signing a Student Film, Short Film, or Ultra-Low Budget Agreement as offered by SAGindie OR
  3. The production budget for the film is less than 200,000 USD AND the film is shown ONLY in:
    a.  Film Festivals (anywhere in the World),
    b.  Art Film Houses as that phrase is understood by the film industry AND
    c. The film has not been given a general (theatrical) release as that phrase is commonly understood in the film industry.
  4. You may use the music on a DVD, VHS, download, or on any other format for distribution of the film, as long as no more than 10,000 copies in total are manufactured. To extend your release beyond this 10,000 unit threshold, you must arrange for a separate extended license - contact us for an extended license quote or call us at 888-400-2149 toll free.
  5. You may use the music on a trailer for the film of not more than five (5) minutes.
  6. In all instances of use of the music for synchronization, you must provide a credit as follows: Song Title, Composer, Publisher and "Recording Licensed from the UniqueTracks Production Music Library Inc.".  This credit shall appear as all other music credits appear in the film.

TELEVISION PROGRAMS

  1. You may use the music in a television program as a portion of the soundtrack. As used in this agreement, a television program is defined as any production made by a television production company for broadcast on a television station OR any independent film that meets our license requirements (see above) that is broadcast on television.
  2. You may broadcast the program containing the synchronized musical performance through all standard broadcast media, including cable, pay television, and network broadcast throughout the World.
  3. In all instances of use of the music for television programs, you must provide a credit as follows: Song Title, Composer, Publisher and "Recording Licensed from the UniqueTracks Production Music Library Inc.".  This credit shall appear as all other music credits appear in the program.
  4. CUE SHEETS:  For television programming you must provide ASCAP, SESAC and BMI or your local performance rights organization, and UniqueTracks, with a CUE SHEET within thirty days of each performance. The CUE SHEET will ensure that the appropriate performance royalty organization secures payment from the broadcasting company for the benefit of the owner of the copyrights of the music you have purchased.

RADIO COMMERCIALS AND RADIO PROMOTIONAL BROADCASTS
  1. You may use the music as a bed for commercials, trailers, and promos as synchronized usage for your radio broadcast.
  2. You are limited in your usage regarding Radio commercials as follows: You may use the music in a radio commercial with broadcast rights up to 300 miles from your location.  For extended markets or national coverage, you must arrange for a separate license. TELEVISION COMMERCIALS AND TV PROMOTIONAL BROADCASTS
  1. You may use the music as a bed for commercials, trailers, and promos as a synchronized usage for your television broadcast.

INTERNET
  1. The music must be synchronized with other audio and/or visual elements such as a background soundtrack in a Flash, Podcast, Shockwave, Quicktime or similar presentation, and may be broadcast on your website or on Internet broadcasting websites such as YouTube, MySpace, and Google Video via the World Wide Web
  2. The music must be embedded in the Internet presentation file and locked, and synchronized with the audio or video elements. You may not present the music in any manner that permits downloading or streaming of the music, or in which the music is in a “stand alone” element and the sole content on the website.
  3. This use constitutes a Direct License. (A Direct License means the license fee you paid for this track included all performing rights fees due the Licensor and no royalties are due to be paid to the performance rights organizations).
  4. In all instances of use of the music that is broadcast on the Internet, you must provide a credit as follows: Song Title, Composer, Publisher and "Recording Licensed from the UniqueTracks Production Music Library Inc.".  This credit shall appear as all other music credits appear in the production.
CORPORATE USAGE AND TRADE SHOWS
  1. You may synchronize the music for such non-general public corporate uses such as corporate videos for employees, business meetings, and for corporate promotions for clients and customers in such presentation formats like PowerPoint. 
  2. You may provide employees, clients, and customers with CDs or DVDs of the corporate presentation as long as the number of units does not exceed 10,000 pieces.  You may use the music at a tradeshow as part of your participation at the tradeshow and the music may be synchronized in any presentation in CD or DVD formats that are given away at a tradeshow as long as the maximum number of units does not exceed 10,000.
  3. Corporate and tradeshow usage is to be considered a "Direct License" under this License. 
  4. If feasible for any corporate or tradeshow use, you must provide a credit as follows: Song Title, Composer, Publisher and "Recording Licensed from the UniqueTracks Production Music Library Inc.".  This credit shall appear as all other music credits appear in the production.
MUSIC ON HOLD 
  1. You are permitted to use the music as a portion of your music-on-hold feature as long as it is used by your business located at the physical address as is indicated on your purchase of this License.  This License may not be used by any business that offers message-on-hold services or products.
  2. Music on Hold usage is to be considered a "Direct License" under this License. (A Direct License means the license fee you paid for this track included all performing rights fees due the Licensor and no royalties are due to be paid to the performance rights organizations).
CELL PHONES AND VOIP
  1. You may use the music on your cell phone and on any VOIP that you use.  This License may not be used by any business that provides cell phone, ringtone, or VOIP services or products.
IN-STORE BROADCASTING
  1. You are permitted to use the music as a portion of your in-store broadcast programming as long as it is used by your business located at the physical address as is indicated on your purchase of this License.  You are licensed to use the music at a single location.  For use in multiple locations you must arrange for a separate license. This License may not be used by any business that offers in-store broadcast programming services or products to others.
  2. In-Store Broadcast usage is to be considered a "Direct License" under this License. (A Direct License means the license fee you paid for this track included all performing rights fees due the Licensor and no royalties are due to be paid to the performance rights organizations).
GIVE AWAYS OR UNITS SOLD
  1. You may synchronize the music you have purchased in connection with any of the uses permitted under this License as a portion of any DVD, CD, VHS or any other type of reproduction as long as no more than 10,000 copies in total are sold or given away.  To extend your release beyond this 10,000 unit threshold, you must arrange for a separate extended license - contact us for an extended license quote or call us at 888-400-2149 toll free.
  2. In all instances of use of the music for use under this section, you must provide a credit as follows: Song Title, Composer, Publisher and "Recording Licensed from the UniqueTracks Production Music Library Inc.".  This credit shall appear as all other music credits appear in the production.

TERMINATION
UniqueTracks may terminate this License upon written notice to License if Licensee breaches any of the terms of the License.  Upon such termination, Licensee must return, destroy, or remove from its computer, all music acquired pursuant to this License.

LICENSEE INDEMNIFICATION
Licensee agrees to defend, indemnify and hold UniqueTracks harmless from and against any claims, damages, liabilities, costs and expenses, including reasonable attorney’s fees, arising out of Licensee’s misuse, deliberate or otherwise, or violation, of the music rights purchased pursuant to this Agreement.

JURISDICTION/ARBITRATION
  1. This Agreement will be governed by and construed in accordance with the laws of the State of New York, excluding that body of laws known as choice of law or conflict of laws.
  2. All disputes, controversies or claims arising out of or relating to this Agreement will be resolved through mandatory binding arbitration conducted in New York, New York before J.A.M.S./ENDISPUTE or its successor ("JAMS") pursuant to the United States Arbitration Act, 9 U.S.C. Section 1, et seq. (the "Act"); and (iii) this Agreement. The arbitration will be conducted in accordance with the provisions of J.A.M.S.'s Streamlined Arbitration Rules and Procedures in effect at the time of filing of the demand for arbitration (the "JAMS Rules"), subject to the provisions of this Section.
  3. The terms set forth in this Agreement will control in the event of any inconsistency between such terms and the JAMS Rules. The parties will cooperate with JAMS and with each other in promptly selecting a single arbitrator from JAMS's panel of neutrals. If the parties fail to so select an arbitrator within thirty (30) days following the date of either party's notice of demand to conduct arbitration, then JAMS will appoint an arbitrator in accordance with the JAMS Rules.
  4. The award of the arbitrator will be in writing and will set forth findings of fact and conclusions of law. Judgment on the arbitrator's award will be final and binding upon the parties and may be entered in any court having jurisdiction thereof. If for any reason JAMS or its successor no longer is in business, then the arbitration shall be conducted in accordance with the commercial arbitration rules of the American Arbitration Association.
  5. The arbitrator's fees will be shared equally by the parties and each party will initially bear its own costs and attorneys' fees, but the prevailing party shall be reimbursed by the other party for all attorneys fees, witness fees, and arbitration costs.
  6. All papers, documents, or evidence, whether written or oral, filed with or presented in connection with the arbitration proceeding will be deemed by the parties and by the arbitrator to be confidential information of both parties. The arbitrator chosen in accordance with these provisions will not have the power to alter, amend or otherwise affect the terms of these arbitration provisions or the provisions of this Agreement. Notwithstanding the foregoing, nothing in this Section shall prevent either party from applying for and obtaining from a court a temporary restraining order and/or other injunctive relief.
WAIVER AND AMENDMENTS
No waiver, amendment, or modification of any provision of this Agreement shall be effective unless agreed to by both parties in writing. No failure or delay by either party in exercising any rights, power, or remedy under this Agreement shall operate as a waiver of any such right, power, or remedy.  

SEVERABILITY
Should any term of this Agreement be finally determined by a court of competent jurisdiction to be invalid, unenforceable or otherwise contrary to law and equity, the parties agree that such provision shall be construed, limited, modified or, if necessary, severed, to the extent necessary to eliminate its invalidity or unenforceability, and that the other provisions of this Agreement shall remain unaffected.

ENTIRE AGREEMENT
This Agreement contains the full understanding between the parties and supercedes all prior representations or agreements, whether oral or written, with respect to such matters. This Agreement may only be changed by a written document signed by both parties.  

RELATIONSHIP OF PARTIES
You and UniqueTracks Inc. are independent businesses, and nothing in this Agreement or the conduct of the parties pursuant hereto shall establish a relationship of principal/agent, franchiser/franchisee, employer/employee, master/servant, or otherwise.

What kind of license agreement does a UniqueTracks product have?
Our Basic Rights License Agreement states that you can use our music in synchronization with the images, text or other multimedia content in your commercial or noncommercial production. To be sure you are using the music correctly within the license agreement, just make sure to use the music in the background or in a supporting/secondary way. As long as our tracks are not the main content of your product, you are using the music correctly within the license agreement. (We will also license our music to be used as the main content of your product, i.e. on an audio CD, but that is a different license with a different pricing. For more info, click here).

There is no need to notify us if you are using the music in a video or software product that you want to market. The Basic Rights License Agreement provides a license for the manufacture of up to 10,000 units of your production which includes our music in its soundtrack. For a product release greater than 10,000 units, please call us for additional licensing. Your purchase of a UniqueTracks product grants you a lifetime license to use that product as many times as you'd like.

We ask for a credit (i.e. "Music licensed from the UniqueTracks Production Music Library") if there is room in your production to give such credit. We realize that not all productions lend themselves to giving a music credit. If you have the space, please credit the music to UniqueTracks.

What is a direct license?
Also known as a “source license, a direct license is a license written to your company directly from the music publisher (the copyright owner, in this case, us, UniqueTracks) that encompasses all performing rights and fees.

It is a one-to-one relationship where no performance royalties are collected or paid to Performance Rights Organizations (PROs) like ASCAP, BMI, SESAC. Even if the publisher is a member of a PRO like ASCAP or BMI, they still have the option of licensing their performance rights directly to the end-user for specific usages.

As the owner and publisher of the music on this site, UniqueTracks, through its Basic Rights License Agreement, grants a direct license for several usages including Music-On-Hold, In-Store Broadcast, Internet Broadcast and use at Corporate Tradeshows.


Can I mass produce and market my product that contains your music?
Yes, you definitely can. This is really the intention of royalty free music; to give you access to music that you can use in synchronization with the other media of your production. The Basic Rights License Agreement provides a license for the manufacture of up to 10,000 units of your production which includes our music in its soundtrack. For a product release greater than 10,000 units, please call us for additional licensing.

This holds true providing the end user of your product is restricted from obtaining direct access to the music files. In other words, you cannot bundle a copy of one of our CDs with your product for your customers to use. Or if you are releasing a CD-ROM or DVD, the end-user must be restricted from copying the music files directly to their computer.

The purchase of our product grants you, the purchaser, a single-user license. The license is valid only for your use. In other words, it's just like a software license, you cannot manufacture or copy our products (our CDs or CD-ROM titles) and sell them, lend them or give them away, etc.

You can use our music in corporate marketing videos, exercise videos, subliminal help videos, trade shows, radio spots, multimedia productions and school projects. If you are a filmmaker you can use our music in your dramatic or documentary film.

Can I include some of your music in my company's new promotional/gift CD.
Yes, you certainly may but doing so requires a special license from us. This type of usage is not covered by our Basic Rights License Agreement.

We have had several customers release our music on company promo CDs. Popular choices for this seem to be our Christmas Carols sets and the Classical Masters Series collection.

Releasing our music tracks on a promotional CD produced by your company requires our "Mechanical Use" (also called Master Use) license. Essentially this license grants you the ability to manufacture your own CDs using our music as sole or partial content.

The cost of a Mechanical Use License depends on two factors:
  1. The number of CDs you are going manufacture
  2. The total combined time of the tracks you are licensing
The manufacturing component of the license is divided into tiers with an incremental fee structure.

Tier 1 -> 1 - 1,000 units
Tier 2 -> 1,001 - 2,500 units
Tier 3 -> 2,501 - 5,000 units
Tier 4 -> 5,001 - 10,000 units
Tier 5 -> 10,001 - 50,000 units
Tier 6 -> 50.001 - 75,000 units
Tier 7 -> 75,001 - 100,000 units
Tier 8 -> Greater than 100,000 units

You must credit the music to UniqueTracks when you release your CD product. This is a mandatory component of the Mechanical Use License.

Can I release a CD of your music under my own label?
Yes, you can, we have had several customers do this but doing so requires a special license from us. This type of usage is not covered by our Basic Rights License Agreement.

Our most popular discs being used in this way are our Pianoscapes and Christmas Carol sets.

Do I need to fill out cue sheets for TV broadcast?
If you have included a track from our library in your production and you are preparing your production to be broadcast on television (Network, Cable, Public, Dish) then a cue sheet must be submitted to the broadcasting company with your production.

If you are including tracks from our library in your film or video, a cue sheet must be filed whenever the film is broadcast on TV.

A cue sheet is not necessary for local Public (Cable) Access TV broadcasts.

You do not need a cue sheet when using our music in 30 or 60 second advertisements. However, long-format advertisements, like infomercials, do require the use of a cue sheet.

Please indicate the song title on your cue sheet for the broadcast company. This information is included in the pdf file part on each individual UniqueTracks song download. It is also printed in the booklet of every UniqueTracks CD collection

What is a cue sheet?
A cue sheet is a printed listing of music cues used within the course of a broadcast production. Each cue references the composer and publisher of the music cue along with the amount of time the track plays within the production.

Each cue must also be given a usage designation. These tell how the music was used within the production.

For example:
  • Opening Theme Music
  • Background Instrumental Music
  • Background Vocal Music
  • Visual Instrumental (No dialogue)
  • Closing Theme Music
Cue sheets are submitted by the production company to the broadcast company and are filed with the applicable Performing Rights Society (BMI, ASCAP, SESAC, SOCAN, etc).

Can I add vocals, lyrics, or other instruments to your music tracks and release it on CD?
No, under the Basic Rights License Agreement, adding your own lyrics, vocals or other instrumentation to our existing tracks to create your own song for CD release is strictly prohibited. There are just too many legal, publishing and copyright issues involved to make this practical.

The music tracks on this site have been created to work as background music - providing color and dramatic content to media productions.

Can I use a sample from one of your tracks in my song?
Yes you can however doing so requires a special license and a different pricing from us. This usage is not covered by our Basic Rights License Agreement.

Can I play your CDs over my restaurant's sound system and avoid paying ASCAP/BMI fees?
When you play recorded music in a public setting, either from a radio or from standard CDs that you own, you must have a BMI or ASCAP license to do so.

You can avoid these licensing fees by playing royalty free music in your restaurant. However for this to be valid, you must play royalty free music and ONLY royalty free music. If you combine both, you would still have to pay BMI or ASCAP fees.

The most popular UniqueTracks sets for restaurant background music are Pianoscapes, the Classical Masters Series, our 60 volume classical Repertoire Series, and our Classic Christmas Carols sets.

Is your music "copyright-free"?
The term "copyright free" is sometimes used to describe royalty free music. This is in fact an error. When you purchase a royalty free music disc from us, you are essentially buying a license to use the contents of the CD in synchronization with the other media in your own production.

UniqueTracks remains the copyright holder. The purchaser of one of our songs or CD collections buys a very broad license to use the music as a tool in their production work.

Royalty Free, Buy Out, Needle Drop, Stock...What does it mean?
Music Production Library tracks are of two types "buy-out" (also called royalty-free), and "needle-drop" (sometimes called "laser-drop"). Needle-drop got its name from when you literally dropped a phonograph needle on a record track.

With buy-out music you pay once for unlimited usage of several songs (buy-out music is sold by the disc) without any market restrictions. A single royalty-free CD can cost from $50 - $250 (UniqueTracks charges $109 for its CD volumes.

Needle-drop music is available by individual track. What you are charged depends on how you expect to use the music. There are different licensing rates for broadcast/non-broadcast, local/nationwide and profit/non-profit. A needle-drop license is good only for a single project (single drop license). You cannot reuse the music without purchasing a new license. If you want to use the music a number of times within the same production you are charged a higher rate (called a multiple drop license).

Needle-drops run form $100 - $3,500 per track depending on the licensing you choose. If you'd like, most needle-drop libraries offer a blanket license and unlimited synchronization's. This license entitles you to use all the music in the library as many times as you'd like. Be prepared to pay some hefty fees though.

UniqueTracks uses whatever instrumentation is appropriate to the musical style of the track. We use synthesizers if the music calls for it - i.e. dance music, trance, techno, etc. We use acoustic instruments and real musicians to produce other styles.
